TERMS OF SERVICE – CONSUMER SALES (EU)

These Terms of Service (“Terms”) govern your use of the website, online store, products and services provided by København Kombucha ApS (“København Kombucha”, “we”, “our”, or “us”).

These Terms apply to purchases made by consumers located within the European Union through our online store.
By accessing our website, using our services, or placing an order, you agree to be bound by these Terms together with our Privacy Policy, Shipping Policy, and Return Policy.
1. Eligibility and Accounts
To place an order through our online store, you must be at least 18 years old or otherwise legally capable of entering into binding contracts under applicable law.
You agree to provide accurate, current and complete information when placing an order or creating an account.
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
2. Products and Product Information
We make reasonable efforts to ensure that product descriptions, pricing, photographs, ingredient information and other content on our website are accurate and up to date.
However, colours, packaging appearance and presentation may vary depending on your device or browser settings.
All product descriptions, availability, formulations and specifications may be updated or changed without prior notice, provided such changes do not affect already accepted orders.
3. Orders and Contract Formation
The presentation of products on our website constitutes an invitation to place an order and not a binding offer.
By placing an order, you submit an offer to purchase the selected products.
A binding sales agreement is formed only when København Kombucha sends you an order confirmation email or dispatch confirmation.
We reserve the right to refuse or cancel orders in justified cases, including suspected fraud, incorrect pricing, technical errors, or product unavailability. In such cases, any payments received will be refunded without undue delay.
4. Prices and Payment
All prices shown on our website are stated in EUR (€) or DKK (Kr) and include applicable VAT unless otherwise stated.
Shipping charges and any additional costs will be clearly displayed before you complete your order.
Accepted payment methods are displayed during checkout.
You warrant that you are authorised to use the selected payment method.
If payment cannot be processed, we may suspend or cancel your order.
5. Shipping and Delivery
We deliver to customers within the European Union.
Estimated delivery times are displayed on our website or during checkout and are provided for information purposes only.
Unless otherwise agreed, delivery shall occur within the timeframe communicated during checkout or, where no timeframe is stated, without undue delay and no later than 30 days after order confirmation.
Risk of loss or damage passes to you only when you, or a third party designated by you (other than the carrier), take physical possession of the goods.
We are not responsible for delays caused by events beyond our reasonable control, including carrier disruptions, customs procedures, strikes, regulatory action, or force majeure events.
6. Returns and Right of Withdrawal
Consumer cancellation rights, returns, refunds and complaint procedures are governed by our separate Return Policy, which forms an integral part of these Terms.
Where applicable under EU consumer law, you may have a statutory right of withdrawal for distance purchases.

7. Legal Warranty and Consumer Rights
Nothing in these Terms limits your mandatory consumer rights under applicable Danish or EU consumer protection legislation.
Consumers are entitled to statutory legal conformity rights and remedies for defective products in accordance with applicable law.

TERMS OF SALE – B2B
These Terms of Sale apply exclusively to purchases made by businesses, legal entities, and professional customers (“Customer”) from København Kombucha ApS (“København Kombucha”).
By placing an order, the Customer confirms that it acts in the course of business. Consumer protection legislation does not apply.
1. Orders
All orders are subject to acceptance by København Kombucha. A binding agreement is formed upon written confirmation, invoicing, shipment, or other written acceptance.
Product availability, specifications, and prices may be changed without prior notice.
2. Prices, VAT and Taxes
Unless otherwise stated, all prices are exclusive of VAT and other applicable taxes.
VAT treatment follows applicable Danish, EU, and international tax legislation. Where legally applicable, intra-EU supplies may be invoiced under the reverse-charge mechanism upon receipt of a valid VAT number.
The Customer remains responsible for compliance with local tax, import, customs, and regulatory requirements.
3. Payment Terms
Unless otherwise agreed, invoices are payable within 15 days from the invoice date.
Overdue amounts may accrue interest in accordance with the Danish Interest Act (Renteloven), together with applicable recovery costs.
København Kombucha reserves the right to suspend deliveries, require prepayment, or suspend B2B account access in case of late payment or material breach.
4. Delivery and Risk
Delivery dates are estimates unless expressly agreed otherwise.
Unless otherwise agreed, deliveries are made under the applicable Incoterms® 2020 agreed between the parties.
Risk transfers to the Customer in accordance with the agreed Incoterms® 2020.
Ownership of goods remains with København Kombucha ApS until full payment has been received.
5. Inspection and Claims
The Customer must inspect goods upon delivery.
Visible defects, shortages, or incorrect deliveries must be reported in writing within 5 business days after receipt.
Hidden defects must be reported without undue delay after discovery.
Where a valid claim is established, København Kombucha may, at its discretion, replace goods, issue a credit note, or refund the affected portion of the order.
6. Storage and Handling
The Customer is responsible for proper storage, handling, transport, and resale of products after delivery.
Any communicated storage instructions, shelf-life guidance, or applicable food safety requirements must be followed.
7. Limitation of Liability
To the maximum extent permitted by law, København Kombucha ApS' liability shall be limited to the net value of the relevant order.
København Kombucha ApS shall not be liable for indirect losses, consequential damages, loss of profit, loss of business, or business interruption.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
8. Force Majeure
Neither party shall be liable for delays or non-performance caused by circumstances beyond reasonable control, including supply chain disruptions, natural events, governmental measures, transport disruptions, or regulatory changes.
9. Governing Law and Jurisdiction
These Terms are governed by Danish law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Any disputes shall be subject to the exclusive jurisdiction of the Danish courts.
